This book is based on stenographic notes from the lecture course “Capital Markets and Public Policy” delivered by the author at the University of Tokyo, which have been organized, modified and edited into a book. The course, sponsored by Mizuho Securities Co., Ltd., is given annually to graduate student at the Graduate School of Public Policy, Graduate School of Law (law school), and Graduate School of Legal and Political Studies who are pursuing a career as government officials, legal professionals, or researchers. The course is designed to deepen students’ understanding of real policy issues under a theme that is suitable for their study.
 
For the fall 2018 semester, the course was offered under the theme “Public policy and legal issues and challenges in the financial and capital markets,” which covered recent topics in the financial and capital markets such as FinTech, mergers and acquisitions, and corporate governance.
 
In the financial and capital markets, major changes have been underway in recent years, including the entry of new players as represented by FinTech, the progress of cashless transactions, utilization of AI and big data, issues in the cryptocurrency exchange industry, and debates on the form of funding termed initial coin offering (ICO). Long-standing issues and challenges associated with corporate governance in response to the amendment of the Companies Act and institutional investors in response to the revision of the Stewardship Code, the concept of fiduciary duty, venture finance, and ESG investment are becoming increasingly important, and there are a large number of public policy and legal issues and challenges. This lecture was given at a time when FinTech drew a great deal of attention, and many new issues surfaced through full-scale examination and discussion on the regulation of cryptocurrency exchanges and ICO regulation, including the regulatory problems of existing financial supervision and consistency with them. Hence, we believe this book is quite timely as it addresses many issues and challenges with regard to public policy and law.
 
This book brings forth frontline practice, theory, and valuable experiences written by experts and practitioners with rich experience and knowledge, based on diverse materials and in line with real, on-the-ground practice. For this reason, the book will greatly benefit researchers and practitioners, not to mention those who want to pursue a career in the worlds of public policy and law. The book also includes questions and answers during the lecture, which will help readers deepen their understanding on the issues and challenges and contemplate the future of public policy and legal regulation.
